General Terms and Conditions
Effective Date: December 1, 2023
This document constitutes the General Terms and Conditions ("Agreement") between Miatel Pte LTD, a legal entity under the laws of Singapore ("Miatel"), and any individual or entity ("User") utilizing the services provided by Miatel Platform. Miatel Platform, hereinafter referred to as "CPaaS" (Communications Platform as a Service), encompasses SMS services, Voice services, Virtual numbers (DID, Toll-free numbers, and other numbers) services, WhatsApp services, Viber services, Telegram services, and other services. In consideration of the mutual covenants contained herein, the User agrees as follows:
Definitions
CPaaS – Miatel Platform, providing various communication services as described above.
User – Any individual or entity utilizing the services provided by Miatel Platform.
Other terms shall have the meanings set forth in the original Agreement.
Scope
Miatel provides the User with CPaaS services subject to the terms and conditions of this Agreement.
Connection
Miatel is responsible for the operation of its infrastructure. The User shall be responsible for procuring and managing the necessary facilities or equipment required to connect to Miatel Platform.
Integrity of the Platform
Each party is responsible for the safe operation of its infrastructure. Miatel shall promptly inform the User of any facility failure affecting the services provided under this Agreement, and the User shall likewise promptly inform Miatel of any such failure.
Force Majeure
Neither Miatel nor the User shall be liable for delays or failures to perform due to events beyond its reasonable control.
Charges
Users shall pay charges for CPaaS services in accordance with Miatel's Pricing Schedule. Fees will be charged for all services utilized through Miatel Platform.
Recording of Traffic
Miatel shall ensure accurate recording of traffic volume for billing purposes.
Billing and Payments
Services are provided on a prepaid basis. Miatel shall issue the invoice upon User's request with the amount specified by User. Invoices shall be paid in full by the User within 15 days after the invoice date. Provision of services starts from the moment of receipt of funds to the account of Miatel.
Disputes
Disputes concerning billing data shall be promptly investigated and resolved by Miatel and the User.
Fraud and Penalties
Users are strictly prohibited from engaging in any fraudulent activities and any other illegal activities while utilizing Miatel Platform. Should any fraudulent activities be detected, Users are obligated to fully cooperate with Miatel in investigating and resolving the issue promptly.
In the event that Miatel incurs any penalties or fines due to fraudulent activities or any other activities committed by the User, the User shall be liable to reimburse Miatel for the full amount of such penalties or fines within three (3) business days from the date of notification by Miatel.
Confidentiality
Miatel and the User shall maintain the confidentiality of information exchanged under this Agreement.
Duration and Termination
This Agreement shall have an initial term of one year and may be terminated by either Miatel or the User with one month's prior written notice. Termination shall not affect accrued obligations.
Liabilities and Limitation of Liability
Miatel shall not be responsible for faults attributable to the User. Miatel and the User shall not be liable for indirect or consequential losses.
Warranties and Agreements
Each party represents that it has the authority to enter into this Agreement.
Data Protection
Miatel and the User shall comply with applicable privacy and data protection regulations.
Governing Law
This Agreement shall be governed by the laws of Singapore.
Time Zone
All time-sensitive matters shall be synchronized to Greenwich Mean Time (GMT+0).
